Terms and Conditions: SSI Advanced (SSI-A)

I. Limitation

SSI-A service shall be provided solely and exclusively to the Platform identified in the Quote issued by GB Avisors and bonded to this acquisition, without limitation of future agents that may be added to such Platform.

II. Guidelines

a. GB Advisors and The Client will jointly set up monthly (initially, and without limitation of the modification of this period), the Product Backlog to be achieved during each agile cycle (Sprint).
b. Based on this, GB Advisors will carry out tasks of assistance, support, accompaniment, consulting, configurations, migrations, documentation and scripts.
c. GB Advisors will set monthly macro limits, that guarantee the sustainability, and the effective and efficient achievement of the Epics (set of objectives) set by The Client.
d. GB Advisors will designate 1 Technical Leader and 1 Project Manager to supervise and manage this service, without limitation of the additional team that will jointly develop the duties.
e. GB Advisors will use the Agile Scrum methodology to execute the following activities:

  • Co-creation of the Product Backlog.
  • Advice and creation of an Action Plan specifically designed to achieve Objectives and Goals.
  • Follow-up, measurement and evaluation of the progress of the developed tasks.
  • Knowledge transfer and coaching on the use of the software to the teams designated by The Client.
  • Provision of materials, digital resources and instructional tools regarding the use of the Platform.
  • Identification and documentation of improvement opportunities for the optimization of the functionalities available for the Platform.

f. The rendering of the SSI Advanced will be executed through the remote infrastructure of GB Advisors , without limiting the possible adaptation for its on-site execution, subject to prior agreement with The Client .

III. Notice

Without prejudice to the attention, dedication and efficiency from GB Advisors in the execution of this Agreement, taking into consideration that the Software of the Platform object of this SSI Advanced is exclusively designed, created and produced by its manufacturer, who is its exclusive owner and administrator, it shall not be considered that GB Advisors has incurred in non-compliance of its contractual duties, if during the execution of this Agreement occurs an event that totally or partially alters the correct functioning of the Platform and is considered inherent and related to the Software - according to the criteria objectively accepted by the solutions industry software of ITSM, ITOM, Helpdesk and process management- that makes it impossible for GB Advisors to comply with its duties as originally agreed.

IV. SSI-A Duration

This service is bonded to the subscription period of the Platform, up to twelve (12) months, and may be renewable annually, if the Platform remains ACTIVE. GB Advisors reserves the right to review and modify (partial or totally) the terms and conditions of the SSI-A.
